Terms of Service

By accessing or using Dobro (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Dobro. Your continued use of the Platform signifies your acceptance of any updates or modifications to these Terms.

You must be at least 18 years old, or have parental consent if our platform permits minor participation, to create an account and use our services.

IMPORTANT: ASSUMPTION OF RISK

Dobro is a coordination and media platform. We do not supervise, officiate, or oversee the physical conduct of games, sessions, or athletic activities organized through the Platform.

By participating in any athletic activity coordinated through Dobro, you acknowledge and accept the following:

• Participation is entirely at your own risk. Athletic activities involve inherent risks including, but not limited to, physical injury, collision, falls, sprains, fractures, concussions, and in rare cases, serious injury or death.
• Dobro is not liable for injuries or accidents that occur during sessions, whether caused by your own actions, actions of other participants, or conditions of the facility.
• You are responsible for your own physical fitness. Consult a physician before engaging in strenuous athletic activity, especially if you have pre-existing medical conditions.
• Facility conditions are not guaranteed. We do not inspect or maintain athletic facilities. You are responsible for assessing the safety and suitability of any venue.
• Other participants are not vetted. Dobro does not conduct background checks or skill assessments of users. Exercise caution when participating with unknown players.

Dobro enables users to record video, audio, and images during sessions. By participating in any session, you acknowledge and consent to the following:

• You may be recorded. Sessions may include video highlights, live streams, or participant-uploaded media. Your likeness, voice, and performance may be captured.
• You consent to platform use of recordings. Media captured during sessions is subject to our Privacy Policy and media license terms.
• Public sessions are discoverable. Content from public sessions may appear in feeds, search results, and promotional materials.
• Private sessions are subject to participant actions. Even in private sessions, participants may capture and share content outside the Platform, which is beyond our control.

Session Hosts and Recording Responsibilities:

If you create or host a session, you are responsible for:

• Complying with local laws regarding audio and video recording (including one-party vs. two-party consent jurisdictions)
• Informing participants if recording will occur
• Respecting facility rules regarding recording devices
• Obtaining any necessary consents beyond those provided by these Terms

Dobro is not responsible for ensuring compliance with local recording laws. Hosts and participants assume full legal responsibility for their recording activities.

To maintain a positive and safe community, all users must adhere to the following conduct rules. Violations may result in account suspension or termination.

Prohibited Conduct:

• Harassment and abuse: Threatening, bullying, stalking, or harassing other users through chat, comments, or any platform feature.
• Manipulated statistics: Falsifying scores, inflating stats, or colluding to misrepresent performance data.
• Impersonation: Pretending to be another person, athlete, or organization.
• Copyright infringement: Uploading content you do not own or have permission to use, including copyrighted music, video, or images.
• Defamation: Posting false statements that harm another person's reputation.
• Spam and solicitation: Unsolicited advertising, promotional schemes, or repetitive messaging.
• Malicious activity: Hacking, phishing, distributing malware, or attempting to disrupt platform services.
• Inappropriate content: Uploading pornographic, violent, hateful, or otherwise offensive material.

Moderation:

Dobro uses a combination of automated systems and human review to enforce these rules. We reserve the right to remove content, suspend accounts, or ban users at our sole discretion.

Dobro is designed to showcase athletic talent and build communities around sports. By using the Platform, you grant us broad rights to use your content for promotional purposes.

Specifically, Dobro may:

• Feature top plays and highlight reels on the Platform homepage
• Promote athlete profiles in discovery feeds and search results
• Use public session content in marketing materials, including social media, email campaigns, and advertisements
• Create compilation videos or montages featuring multiple users
• Share content with media partners or sponsors for promotional purposes

This promotion is not an endorsement deal or sponsorship. We do not pay for promotional use of publicly shared content. If you do not want your content used for promotion, mark your sessions as private.

For significant commercial uses (e.g., national advertising campaigns), we will seek additional explicit consent.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service
• Abusive, fraudulent, or illegal activity
• Repeated conduct violations or community complaints
• Manipulated statistics or coordinated cheating
• Impersonation or identity fraud
• Legal or regulatory requirements

Upon termination:

• You lose access to your account and all associated data
• Media you uploaded may be removed at our discretion
• Your username may become available for others to use
• Session statistics may remain for historical purposes, with your profile anonymized

You may also terminate your own account at any time through account settings. Termination does not relieve you of obligations incurred prior to termination.

Platform Ownership: Dobro, its logo, design, software, and all related intellectual property are owned by Dobro or its licensors. You may not copy, modify, distribute, or create derivative works without explicit permission.

User Content: You retain ownership of content you upload. However, by uploading, you grant Dobro the license described in our Privacy Policy and these Terms.

Third-Party Content: You are responsible for ensuring you have rights to any content you upload. Dobro is not liable for copyright infringement claims arising from user-uploaded content.

DMCA Compliance:

If you believe content on Dobro infringes your copyright, submit a DMCA takedown notice to dmca@dobro.com with:

• Identification of the copyrighted work
• Location of the infringing content (URL)
• Your contact information
• A statement of good faith belief that use is unauthorized
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

You agree to indemnify, defend, and hold harmless Dobro, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform — including any violations of these Terms
• Media disputes — including claims that content you uploaded infringes third-party rights or violates privacy/publicity rights
• Injury claims — including any injuries or accidents that occur during sessions you participate in or organize
• Copyright violations — including any DMCA claims or intellectual property disputes arising from your content
• Conduct violations — including harassment, defamation, or fraudulent activity attributed to your account

This indemnification obligation survives termination of your account and these Terms.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, Dobro disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Platform will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

We do not guarantee that the Platform will meet your requirements or that it will be available at all times. Use of the Platform is at your sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOBRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, but is not limited to, damages for:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Personal injury or property damage
• Emotional distress or reputational harm
• Costs of substitute services

In no event shall Dobro's total liability to you for all claims exceed the greater of (a) $100 or (b) the amount you paid to Dobro in the past 12 months.

Some jurisdictions do not allow limitation of liability for personal injury or incidental/consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Governing Law: These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Arbitration Agreement:

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

• Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA)
• Arbitration will take place in Texas or remotely via video conference
• The arbitrator's decision is final and binding
• You waive your right to a jury trial
• You waive your right to participate in a class action lawsuit or class-wide arbitration

Exceptions:

Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights or unauthorized use of the Platform.

If any portion of this arbitration agreement is found unenforceable, the remainder shall remain in effect.

We may update these Terms from time to time. When we make material changes, we will notify you by:

• Posting the updated Terms on the Platform with a new "Last Updated" date
• Sending an email to your registered email address
• Displaying a notification within the Platform

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and may delete your account.
